Terms of Submission
Stamford Media Center & Productions LLC (“Producer”) located at 307 Atlantic Street, Stamford, CT 06901, invites you to submit your DNA question or issue (the “Submission”) for a non-airing pilot (the “Show”). Your Submission should be original and not infringe on any third party rights, including without limitation, copyright, trademark, or patent, or create claims for idea misappropriation or breach of contract. You must have the permission of any person who appears in your Submission or who you identify or otherwise refer to in your Submission. In order to participate, you must be at least eighteen (18) years old.
You understand that although you may believe your Submission to be unique and novel, there may be pre-existing ideas, concepts, proposals or legal issues or questions that are similar to your Submission. By submitting your Submission, you recognize that other persons, including Producer’s own employees, may have submitted to Producer or others, or made public, or may in the future originate and submit or make public, similar or identical ideas, concepts, proposals or legal issues or questions that Producer may have the right to use, and you understand that you will not be entitled to any compensation because of Producer’s use of such similar or identical ideas, concepts, proposals, or legal issues or questions in any manner. You understand and agree that Producer’s use of material containing features or elements similar or identical to those contained in your Submission will not obligate Producer to negotiate with you or entitle you to any compensation if Producer determines that it has an independent legal right to use that other material for any reason (for example, because the features or elements are not new or novel, were not originated by you, or were or may hereafter be independently created and submitted by other persons). By submitting your Submission, you agree that your Submission may be broadcast on-air, streamed on a streaming service or app, posted on the Show’s website, and in promotion and advertising for the Show on-air and off-air, on the streaming service(s) and on the website (together, the “Materials”) and that Producer may exploit your Submission and the Materials howsoever it chooses in any and all markets and media now known or hereafter devised, throughout the world in perpetuity, without additional notification, permission, approval, or compensation.
You grant Producer and its licensees, successors and assigns the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit your Submission and to incorporate your Submission in other works in any and all markets and media, now known or hereafter devised, throughout the world in perpetuity, without additional notification, permission, approval, or compensation. You warrant that you have the sole and exclusive right to grant such rights to Producer and that Producer’s reproduction, publishing, displaying, and/or other use of your Submission will not infringe on any rights of third parties, including, without limitation, copyright, trademark, patent, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract.
By submitting your Submission, you consent to the recording, use, and reuse by Producer and its licensees, successors, and assigns of your social media username, your voice, actions, name, likeness, appearance, biographical material, and any other identifying information, including without limitation, any information contained in your Submission (including anyone who appears in your Submission or you identify or otherwise refer to in your Submission) or social media profile, as used, edited, altered, fictionalized, or modified by Producer, in its sole discretion, in any and all markets and media, now known or hereafter devised, throughout the world in perpetuity, including, without limitation, in and in connection with Producer, the website, or related sites or services, in and in connection with any television programs and other productions, and in and in connection with advertising, promotion, and publicity.
You acknowledge and agree that Producer, its licensees, successors, and assigns will be entitled to retain any and all revenue generated from any sales, licenses, assignments, and other transfers of the rights granted by you hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials, or distribution rights in connection with your Submission or the Materials. Nothing in these Terms of Submission obligates or may be deemed to obligate Producer or any other person or entity to exercise any of the rights granted by you under these Terms of Submission. Producer and its successors, licensees, and assigns, will have the unlimited right to assign these Terms of Submission and the rights granted by you under these Terms of Submission at any time, in whole or in part, to any party. Your Submission may not be identifiable. Producer will have the right to make any changes to your Submission as it determines in its sole discretion. Your Submission should not contain material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive. Your Submission must be your own original work. You agree that Producer and its licensees, successors, and assigns shall have no obligation to give you credit for your Submission but in their sole discretion may elect to do so. Your Submission will not be acknowledged or returned. You acknowledge and agree that you are sending your Submission voluntarily and not in confidence and that no confidential relationship or attorney-client relationship is intended or created between Producer and/or any other person or entity, including, but not limited to, the show host or their law firm, on the one hand, and you, on the other hand, by your submission of your Submission.
You understand that there will be no payment for your Submission or the use of your Submission. You understand that no industry custom or practice applies to your agreement that you will not be paid for your Submission. You understand that if your Submission is selected for use, such use will not be considered an employment opportunity. You understand that any statements made by Producer or the show host, or any other person connected to the Show, are not legal advice on which you have a right to rely. If you do not want your Submission to be used and broadcast by Producer, then please do not participate.
You understand that if you acquire any knowledge of confidential matters or trade secrets of Producer, its parent, subsidiaries or affiliates, licensees, employees or vendors (collectively, the “Parties”), you are required to keep secret all such trade secrets or confidential matters and not disclose them to anyone outside the Parties, whether during or after any possible engagement with the Parties, except with the written consent from an authorized representative of the Parties.
You understand that you shall keep in the strictest confidence and shall not disclose to any other third party at any time (i.e., prior to, during, or after any engagement with Producer) any information or materials concerning or relating to the Parties, the business of the Parties, or any program produced and/or broadcast or streamed on a streaming service or app by the Parties, including, without limitation, any information concerning or relating to the program(s), the program’s participants, the events contained in the programs or the outcome of any episode of the programs, that you read, hear or otherwise acquire or learn in connection with or as a result of your engagement with respect to the programs or your engagement with the Parties (collectively, the “Programs’ Information and Materials.”) You acknowledge and agree that the Programs’ Information and Materials are confidential and the exclusive property of the Parties. During and after the time that you are engaged with the program(s) and/or the Parties, you will not, directly or indirectly, divulge in any manner, or use or permit others to use any of the Program’s Information or Materials. Notwithstanding the foregoing, the Programs’ Information and Materials shall not include any information or materials that otherwise become publicly available not by your breach of this Agreement. You further recognize and agree that, in the course of your engagement with the Parties, you may become privy to nonpublic information of a personal nature about the Parties’ on-air talent, employees, associates or guests, including, without limitation, actions, omissions, statements, or personally identifiable medical, family, financial, social, behavioral, or other personal or private information. It is understood that during the course of your engagement, you also may become aware of actual or potential business transactions, development plans or negotiations that are not known to the public. You will not disclose any such information that you learn in the course of your engagement with the Parties to any other person or entity other than as expressly directed by the Parties, unless required by applicable law or legal process.
